Cap table prep checklist

• Current fully diluted cap table export from your tool or spreadsheet.
• All SAFEs and convertibles with key terms (cap, discount, MFN if any).
• ESOP pool: allocated vs unallocated, grant policy summary.
• Founder vesting status and any acceleration clauses.
• IP assignment status for founders and early contractors.
• Related-party transactions or loans to the company.
